1. Definitions

Client: posts projects for Providers

Provider: delivers services upon project acceptance

Company: operates the platform and intermediary services

2. Acceptance

By registering on the platform or by posting or accepting a project, you agree to be bound by these Terms & Conditions.

3. Services

• Matching: AI-driven recommendations of Providers for Clients.
• Payments: funds held in our accounts and released upon milestone approval.
• Project Management: in-platform tools for communication, milestones, and deliverables.

4. User Obligations

• Clients: must provide accurate project briefs and fund escrow before work starts.
• Providers: must deliver work as per agreed milestones and quality standards.
• All Users: must complete identity verification using valid government-issued documents.
• Both: must maintain confidentiality of project materials.

5. Identity and Account Verification

• Users must provide valid government-issued documents for identity verification.
• Phone number verification via One-Time Password (OTP) is strictly required to secure your account and for any subsequent phone number updates.
• We reserve the right to suspend accounts pending completion of verification.
• Submission of false or fraudulent documents will result in immediate account termination and may be reported to relevant authorities.

6. Fees & Billing

We charge a platform fee (as per your agreement). All other fees payable to Providers are agreed directly between Client and Provider.

Platform fees are non-refundable once work has begun on a project or milestone.

7. Payments & Releases

• Clients must deposit full project or milestone fees into our account before work commences.
• Providers may request milestone releases upon completion; the Company releases funds after Client approval or by automatic release 14 days after submission if no dispute is raised.

8. Intellectual Property

• Clients retain ownership of all project-related intellectual property unless otherwise agreed in writing.
• Upon full payment of all agreed fees, Providers grant Clients a perpetual, worldwide, non-exclusive license to use the deliverables created under the project.

9. Confidentiality

All project details, code, designs, documents, and communications shared through or in connection with the platform are confidential. Unauthorized copying, sharing, or disclosure to third parties is strictly prohibited unless expressly permitted in writing.

10. Dispute Resolution

• Mediation: Our Project Manager will first attempt to mediate any dispute between Client and Provider.
• Arbitration: If unresolved, disputes shall be referred to binding arbitration in India under the Arbitration and Conciliation Act, 1996.

11. Liability & Indemnity

• The Company’s role is limited to operating the platform and managing funds as an intermediary. We are not responsible for the quality, timeliness, or outcomes of work performed by Providers, nor for disputes arising directly between Clients and Providers.
• Users are solely responsible for ensuring that all information and documents they provide are authentic, accurate, and current.
• You agree to indemnify and hold harmless the Company, its officers, employees, and affiliates from any third-party claims, losses, damages, or expenses arising out of your breach of these Terms or applicable laws.

12. Termination

• Clients may cancel unassigned projects at any time.
• Providers may withdraw from project requests that have not yet been accepted.
• After a project has been accepted, termination, refunds, and releases of funds are governed by the milestone and refund policy specified in the project agreement.

13. Governing Law

These Terms are governed by the laws of India. Subject to the arbitration clause above, the courts in Chandigarh, India shall have exclusive jurisdiction.

14. Amendments

We may update or amend these Terms from time to time. Continued use of the platform after updated Terms are posted will constitute your acceptance of the revised Terms.
